Terms of Service

These Terms of Service ("Terms") form an agreement between Savur, Inc. ("Savur," "we," "us," or "our") and the person or organization accessing the Savur website or services. By accessing or using a service that links to these Terms, you agree to them. If you use the service for an organization, you represent that you are authorized to bind that organization.

1. Services covered

These Terms apply to thesavur.com and, unless a separate written agreement controls, Savur's software platform, business donor tools, nonprofit and upcycle partner tools, Savvi, Sponsor Impact, beta services, reporting features, integrations, and related services. A signed order form, master services agreement, data-processing agreement, pilot agreement, or other written contract may add to or override these Terms for the covered service.

2. Eligibility and accounts

You must be at least 18 years old to create an account. You must provide accurate information, protect account credentials, use only permissions assigned to you, and promptly notify us of suspected unauthorized access. Organizations are responsible for their authorized users and for maintaining appropriate internal access controls.

3. Acceptable use

You may not use the services unlawfully; interfere with service operation or security; access data or accounts without authorization; reverse engineer or attempt to extract non-public source code except where such restriction is prohibited by law; upload malware; submit information you do not have the right to provide; misrepresent recovery, donation, diversion, nonprofit, sponsorship, logistics, or household activity; or use the services to discriminate, defraud, harass, or cause harm.

4. Organization and user data

You retain ownership of information you or your organization submit to Savur. You grant Savur a limited right to host, process, reproduce, transmit, and otherwise use that information as reasonably necessary to provide, secure, support, and improve the services; comply with law; and fulfill applicable contractual obligations. You are responsible for the accuracy, legality, and authority to submit your data.

5. Recovery, diversion, and operational records

Savur helps users create and organize records of food recovery, diversion, receiving, logistics, and related activity. Platform records may reflect information submitted or confirmed by multiple parties. Savur does not independently guarantee the accuracy, condition, safety, legal status, valuation, tax treatment, or regulatory sufficiency of every item or record. Users remain responsible for operational decisions and for reviewing records before relying on them for external reporting.

6. Food safety and donation responsibility

Food donors, nonprofit recipients, foodservice operators, carriers, and other participants remain responsible for complying with applicable food-safety, handling, labeling, storage, transportation, and donation requirements. Savur provides workflow and documentation infrastructure; it is not a food-safety certifier, health authority, or guarantor of food condition.

7. Nonprofit partners and acknowledgments

Nonprofit partners are responsible for the accuracy of organization information they provide, including tax-exempt status and authorized personnel. Savur may facilitate acknowledgment records based on documented activity, but Savur is not the charitable recipient unless expressly stated in writing and does not determine the donor's valuation or deductibility. Donors and recipients remain responsible for legal and tax requirements applicable to acknowledgments, Form 8283, appraisals, or other substantiation.

8. Savvi

Savvi is intended for adult household members accessing food support through approved nonprofit partners. Eligibility, availability, inventory, pickup, delivery, and fulfillment may depend on nonprofit capacity and local program rules. Savur does not guarantee that food, delivery, or a particular item will be available. Users must provide accurate information and use Savvi only for legitimate household access purposes.

9. Sponsor Impact

Sponsor Impact helps organizations support approved nonprofit or food-access activity and view impact information connected to documented program activity. Savur, Inc. is not a nonprofit organization. A sponsorship, program payment, platform fee, processing fee, or other payment through Savur is not automatically a charitable contribution or tax-deductible expense. Tax treatment depends on the payment structure, recipient, purpose, and payer's circumstances. Sponsors should consult their tax and legal advisors.

10. Payments, fees, and third-party processors

Fees and payment terms may be described in an order form, invoice, checkout flow, or other written agreement. Payments may be processed by third-party payment providers, whose terms may also apply. Except as required by law or stated in a separate agreement, fees are non-refundable once earned or services are provided.

11. Logistics and third-party services

Savur may coordinate or integrate with independent logistics providers, payment processors, authentication providers, analytics providers, mapping services, and other third parties. Unless expressly stated otherwise in a written agreement, those providers are independent third parties and Savur does not control or guarantee their availability, performance, conduct, timing, pricing, or acts and omissions.

12. Tax, accounting, ESG, climate, and compliance information

Savur provides infrastructure for recording, coordinating, documenting, and reporting food recovery and diversion activity. Savur does not provide legal, tax, accounting, investment, food-safety, carbon-credit, or regulatory advice; determine whether an activity satisfies a particular legal or tax requirement; certify ESG or regulatory compliance; determine fair market value or cost basis; issue tax opinions; or guarantee carbon-credit eligibility, verification, issuance, sale, or value.

Environmental and impact outputs may include estimates or modeled results based on documented activity and stated methodologies. Modeled outputs are not the same as independently verified measurements or issued carbon credits. Users remain responsible for obtaining appropriate professional advice before using Savur outputs in formal filings, tax returns, regulated disclosures, carbon claims, or other external statements.

13. Pilot, beta, and pre-release services

Beta, pilot, preview, or pre-release services may be incomplete, changed, suspended, or discontinued and may contain errors. Features described as planned, preview, beta, future, or post-MVP are not commitments to deliver on a particular date.

14. Intellectual property

Savur and its licensors retain all rights in the services, software, designs, documentation, trademarks, logos, and other Savur materials, excluding user data. These Terms do not grant you ownership of Savur intellectual property. You may not use Savur's marks in a way that implies sponsorship, endorsement, or partnership without written permission.

15. Feedback

If you voluntarily provide product ideas or feedback, you permit Savur to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

16. Privacy

Our Privacy Policy explains how Savur handles personal information. Customers may also enter into data-processing or security terms with Savur where appropriate.

17. Suspension and termination

We may suspend or restrict access where reasonably necessary to protect the service, users, data, or third parties; investigate suspected misuse; comply with law; address nonpayment; or enforce these Terms or another applicable agreement. Either party's termination rights may also be stated in an order form or other written agreement.

18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SAVUR DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SAVUR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY LEGAL, TAX, REPORTING, OR OPERATIONAL PURPOSE.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVUR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES. WHERE A SEPARATE WRITTEN AGREEMENT SETS A LIABILITY CAP, THAT AGREEMENT CONTROLS. OTHERWISE, SAVUR'S AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID TO SAVUR FOR THE APPLICABLE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, EXCEPT WHERE APPLICABLE LAW DOES NOT PERMIT THAT LIMITATION.

20. Indemnification

To the extent permitted by law, an organization using the services agrees to defend, indemnify, and hold harmless Savur and its officers, directors, employees, and agents from third-party claims arising from that organization's unlawful use of the services, violation of these Terms, infringement caused by its submitted content, or material misrepresentation of information it provides. This section does not apply to the extent a separate written agreement provides different indemnification terms.

21. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Unless a separate written agreement states otherwise, exclusive venue for disputes arising from these Terms will lie in the state or federal courts serving Fort Bend County, Texas, and each party consents to personal jurisdiction there.

22. Electronic communications

You agree that electronic records, notices, disclosures, and signatures may be used in connection with the services to the extent permitted by applicable law. You are responsible for keeping your contact information current and for retaining copies of important records you receive electronically.

23. Changes to these Terms

We may update these Terms as our services or legal requirements change. We will post the updated Terms with a revised effective date and provide additional notice when required. Changes do not override a signed agreement except as permitted by that agreement.
